1. AGREEMENT TO TERMS
By accessing or using FiduciaryHub ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our Service.
FiduciaryHub is owned and operated by Luminaflo LLC, a Florida Limited Liability Company.
2. SERVICE DESCRIPTION
FiduciaryHub is a web-based Customer Relationship Management (CRM) platform designed specifically for fiduciaries, trustees, and guardians to manage client information, documentation, and related administrative tasks.
2.1 Service Features
Our platform includes:
- Secure client data storage and management
- Document upload and organization tools
- Reporting and analytics capabilities
- Data export functionality in CSV format
- User account management and access controls
2.2 Service Availability
- Service is available 24/7, subject to maintenance and updates
- We reserve the right to modify, suspend, or discontinue any aspect of the Service
- Planned maintenance will be announced in advance when possible
3. BILLING AND PAYMENT TERMS
3.1 Subscription Fees
- FiduciaryHub operates on a monthly subscription model
- All fees are billed in advance through PayPal
- Subscription fees are due on the same date each month ("Billing Date")
- Fees are non-negotiable unless otherwise agreed in writing
3.2 Payment Processing
- All payments are processed through PayPal
- Users must maintain a valid PayPal account or payment method
- Failed payments may result in immediate service suspension
- Users are responsible for all payment processing fees
3.3 Price Changes
- We reserve the right to modify subscription fees with 30 days written notice
- Price changes will take effect on your next billing cycle
- Continued use of the Service after notice constitutes acceptance of new pricing
4. NO REFUND POLICY
4.1 Strict No Refund Policy
ALL SUBSCRIPTION FEES ARE FINAL AND NON-REFUNDABLE UNDER ANY CIRCUMSTANCES. This includes but is not limited to:
- Partial month usage
- Service dissatisfaction
- Technical difficulties or outages
- Account termination for any reason
- Duplicate payments or billing errors
- Changes in business needs or circumstances
- Regulatory or legal changes affecting your business
4.2 No Pro-Rated Refunds
- No refunds will be provided for unused portions of subscription periods
- Services remain available until the end of the current billing period after cancellation
- No exceptions will be made to this policy regardless of circumstances
4.3 Billing Disputes
- Payment disputes must be resolved through PayPal's dispute resolution process
- We will cooperate with legitimate PayPal dispute investigations
- Fraudulent dispute claims may result in account termination and legal action
5. CANCELLATION POLICY
5.1 User-Initiated Cancellation
- Users may cancel their subscription at any time through their account settings
- Cancellation must be completed before the next billing date to avoid charges
- Canceled subscriptions remain active until the end of the current billing period
- No partial refunds are provided for canceled subscriptions
5.2 Cancellation Process
To cancel your subscription:
- Log into your FiduciaryHub account
- Navigate to Account Settings > Billing
- Select "Cancel Subscription"
- Confirm cancellation through the verification process
- You will receive email confirmation of cancellation
5.3 Post-Cancellation Access
- Service access continues until the end of the current billing period
- After expiration, account access is suspended but data is retained for 90 days
- Users may reactivate within 90 days by resuming subscription payments
- After 90 days, accounts and all data are permanently deleted
6. SERVICE PAUSE POLICY
6.1 Temporary Service Pause
Users may temporarily pause their subscription under the following conditions:
- Minimum pause period: 1 month
- Maximum pause period: 6 months per calendar year
- Pause requests must be submitted at least 3 days before next billing date
- Limited to 2 pause periods per calendar year
6.2 Pause Process
To pause your service:
- Contact customer support at sebastian@fidhub.net
- Provide reason for pause and desired duration
- Confirm pause request and effective dates
- Receive written confirmation of pause approval
6.3 During Service Pause
While service is paused:
- No billing occurs for the pause period
- Account access is suspended but data is preserved
- No new data can be added or modified
- Limited account access for administrative purposes only
- Support is limited to pause-related inquiries
6.4 Resuming Service
To resume service after a pause:
- Contact customer support to reactivate
- Billing resumes on the reactivation date
- Full service access is restored within 24 hours
- All previous data and settings are preserved
7. ACCOUNT TERMINATION
7.1 Voluntary Termination
- Users may terminate accounts at any time
- Termination results in permanent account closure
- All data is deleted immediately upon request or after 90-day retention period
- Terminated accounts cannot be reactivated - new registration required
7.2 Involuntary Termination
We may terminate accounts for:
- Non-payment of fees
- Violation of these Terms and Conditions
- Fraudulent or illegal activity
- Abuse of our systems or support staff
- Breach of acceptable use policies
7.3 Termination Effects
Upon termination:
- Service access is immediately suspended
- No refunds are provided for unused subscription time
- Users may request immediate data deletion or standard 90-day retention
- Payment obligations remain for all charges incurred before termination
8. DATA EXPORT AND ACCOUNT CLOSURE
8.1 Data Export Rights
Before account closure, users may:
- Export all data in CSV format
- Request data export processing within 5 business days
- Receive data via secure download link
- Export data multiple times before account closure
8.2 Account Closure Process
- Cancel subscription through account settings
- Request data export if desired
- Confirm account closure intentions
- Choose immediate deletion or 90-day retention
- Receive final confirmation of account status
9. SERVICE MODIFICATIONS
9.1 Feature Changes
We reserve the right to:
- Add, modify, or remove Service features
- Update user interfaces and functionality
- Implement new security measures
- Change system requirements or compatibility
9.2 Notification of Changes
- Major changes will be announced via email or in-platform notifications
- Minor updates may be implemented without advance notice
- Continued use constitutes acceptance of Service modifications
10. ACCEPTABLE USE POLICY
10.1 Permitted Uses
FiduciaryHub may only be used for:
- Legitimate fiduciary, trustee, and guardian management activities
- Storing and managing client information within legal authority
- Professional business purposes related to fiduciary services
10.2 Prohibited Activities
Users may not:
- Upload illegal, fraudulent, or unauthorized content
- Share account access with unauthorized individuals
- Attempt to reverse engineer or copy our software
- Use the Service for any unlawful purposes
- Interfere with other users' access to the Service
- Exceed reasonable usage limits or abuse system resources
11. LIMITATION OF LIABILITY
11.1 Service Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES, INCLUDING:
- Warranties of uninterrupted or error-free operation
- Warranties of data accuracy or completeness
- Warranties of merchantability or fitness for purpose
- Warranties of security or data protection
11.2 Liability Limitations
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability shall not exceed the amount paid in the 12 months preceding any claim
- We are not liable for indirect, consequential, or punitive damages
- We are not liable for business losses, lost profits, or data loss
- Users assume all risks associated with Service use
12. CUSTOMER SUPPORT
12.1 Support Availability
- Customer support is provided via email and in-platform messaging
- Standard response time: 5 business days
- Support hours: Monday-Friday, 9 AM - 5 PM EST
- Emergency support is not available
12.2 Support Limitations
- Support is limited to Service-related technical issues
- We do not provide fiduciary, legal, or regulatory advice
- Complex technical issues may require extended resolution time
- Support quality may vary based on subscription status
13. INTELLECTUAL PROPERTY
13.1 Our Rights
- FiduciaryHub and all related technology is owned by Luminaflo LLC
- Users receive only a limited license to use the Service
- No rights are granted beyond those explicitly stated in these Terms
13.2 User Content
- Users retain ownership of their uploaded data and content
- Users grant us license to store, process, and display content as necessary to provide the Service
- Users warrant they have rights to upload all content to our platform
14. GOVERNING LAW AND DISPUTES
14.1 Governing Law
These Terms are governed by the laws of Florida, without regard to conflict of law principles.
14.2 Dispute Resolution
- All disputes must first be addressed through good faith negotiation
- If negotiation fails, disputes will be resolved through binding arbitration
- Arbitration will be conducted under American Arbitration Association rules
- Each party bears their own legal costs unless otherwise awarded
15. GENERAL PROVISIONS
15.1 Entire Agreement
These Terms constitute the complete agreement between you and Luminaflo LLC regarding the Service and supersede all prior agreements.
15.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
15.3 Amendment
We may modify these Terms at any time with 30 days written notice. Continued use of the Service constitutes acceptance of modified Terms.
15.4 Assignment
- We may assign our rights and obligations under these Terms without restriction
- Users may not assign their rights without our prior written consent
15.5 Waiver
Our failure to enforce any provision does not constitute a waiver of our right to enforce that provision in the future.
